DERUNGS SPARRING | Effective from: 01.07.2026 | Location: Winterthur
These General Terms and Conditions ("Terms") apply to all services, consulting, sparring engagements, and workshops provided by DERUNGS SPARRING (hereinafter "the Consultant"). Deviating terms proposed by the client are binding only if expressly acknowledged by the Consultant in writing.
The contract is formed upon the client's acceptance of the Consultant's offer (in writing or by email) or upon commencement of service delivery. The Consultant's offers are non-binding and valid for 30 days from the date of issue, unless otherwise agreed.
The scope of services to be provided is set out in the respective offer or engagement agreement. The Consultant provides services to the best of his knowledge and with diligent planning. A specific economic outcome or the achievement of specific metrics is not owed unless expressly agreed in writing.
The client undertakes to provide the Consultant with all documents, information, and access necessary for the performance of the engagement in a timely manner and free of charge. Delays caused by the client's insufficient cooperation are at the client's expense and entitle the Consultant to adjust deadlines.
Unless otherwise agreed, billing is based on effort incurred (day rates / hourly rates) or as per a fixed-price agreement. All prices are in Swiss francs (CHF), exclusive of statutory VAT. Invoices are payable net within 30 days of the invoice date, unless otherwise agreed. In the event of late payment, the Consultant is entitled to charge default interest of 5% p.a. as well as reminder fees.
All concepts, methods, analyses, documents, and tools created in the course of the consulting engagement remain the intellectual property of DERUNGS SPARRING. The client receives a non-transferable right of use applicable exclusively for the contractually agreed purpose. Any transfer to third parties or commercial exploitation requires the Consultant's prior written consent.
Both parties undertake to treat all business secrets and confidential information of the other party that become known in connection with the engagement as strictly confidential. This obligation continues after termination of the contractual relationship. Data protection is governed by the applicable Swiss legal provisions (FADP).
The Consultant is liable for damages only in cases of intentional or grossly negligent breach of contractual duties. Liability for slight negligence, as well as for indirect damages, lost profits, data loss, or consequential damages, is excluded in full to the extent permitted by law. In any case, liability is limited to the amount of the respective order value.
Amendments and additions to these Terms require written form. Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. Swiss law applies to the contractual relationship. The place of jurisdiction is the registered seat of DERUNGS SPARRING (Winterthur / Canton of Zurich).
